Welcome to ArkaPrep. These Terms of Service (“Terms”) govern your use of our tutoring services, website, mobile application, and all related platforms (collectively, the “Services”). By enrolling in, accessing, or using any ArkaPrep Services, you — and, where applicable, the parent or legal guardian of a minor student — agree to be legally bound by these Terms.
Please read these Terms carefully. If you do not agree, you must not use our Services.
1. DEFINITIONS
“ArkaPrep” refers to ArkaPrep and its affiliates, operating at www.arkaprep.com. Contact: arkaprep@gmail.com | Phone/WhatsApp: +91 7878107701
“Student” means the individual receiving tutoring or test-preparation services.
“Guardian” means the parent or legal guardian who has accepted these Terms on behalf of a Minor student and assumes full legal responsibility for that student’s participation.
“Minor” means any individual under 18 years of age.
“Tutor” means an independent contractor engaged by ArkaPrep to deliver instructional services.
“Session” means a single scheduled tutoring or coaching appointment.
“Package” means a pre-purchased bundle of Sessions or hours.
“Credit” means a monetary or session value held in a user’s ArkaPrep account for use toward future Sessions.
“Platform” means the ArkaPrep website, mobile app, and all related digital tools used to deliver and manage Services.
“Third-Party Educational Resources” means publicly available materials sourced from the internet and used solely to supplement tutoring instruction.
2. ELIGIBILITY & ACCEPTANCE OF TERMS
2.1 General Eligibility
To access ArkaPrep Services, you must:
Be at least 18 years of age, OR
Be a Minor whose parent or legal Guardian has registered on your behalf, reviewed these Terms in full, and accepted them.
2.2 Minor Students — Guardian Requirement
ANY STUDENT UNDER THE AGE OF 18 MUST BE ENROLLED BY, AND REMAIN UNDER THE ACTIVE SUPERVISION OF, A PARENT OR LEGAL GUARDIAN.
By enrolling a Minor:
The Guardian confirms they have read and accepted these Terms on behalf of the Minor.
The Guardian assumes FULL legal and financial responsibility for the Minor student’s participation, conduct, payment obligations, and compliance with all ArkaPrep policies.
The Guardian consents to ArkaPrep’s collection and use of the Minor’s personal data as described in our Privacy Policy.
The Guardian agrees to be present or reasonably accessible during Sessions involving the Minor, and consents to ArkaPrep staff or Tutors contacting the Guardian directly regarding the Minor’s progress, conduct, or safety.
Enrollment of a Minor without a Guardian’s active participation, consent, and assumed responsibility is strictly prohibited.
2.3 Account Registration
You agree to provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any other person or permit others to access the Platform using your credentials. ArkaPrep is not liable for unauthorized access resulting from your failure to secure your account.
2.4 Eligibility Representations
By using the Services, you represent and warrant that: (a) you have the legal capacity to enter into a binding contract; (b) all information you provide is accurate; and (c) your use of the Services will comply with all applicable laws and these Terms.
3. SCOPE OF SERVICES
3.1 Services Offered
ArkaPrep provides personalized one-on-one and small-group tutoring, test preparation (SAT, ACT, ISEE, SSAT, and other standardized exams), academic subject coaching, college admissions counseling support, and related educational services delivered via live online sessions.
3.2 Academic Integrity
ArkaPrep’s Tutors are strictly prohibited from completing assignments, writing papers, or taking exams on a student’s behalf. Our Services are instructional in nature. Engaging ArkaPrep for any purpose that violates your school’s or institution’s academic honesty policy is prohibited and may result in immediate termination of Services without refund.
3.3 Tutor Selection & Assignment
ArkaPrep reserves the right to assign, reassign, or substitute Tutors based on availability, expertise, and scheduling. While we strive for consistency, tutor continuity is not guaranteed. Requests for a specific Tutor will be honored where feasible but cannot be contractually guaranteed.
3.4 Service Limitations
ArkaPrep does not guarantee continuous, uninterrupted access to the Platform. The Platform is subject to scheduled maintenance and unforeseen outages. ArkaPrep will make reasonable efforts to notify users of planned downtime in advance.
3.5 Geographic Availability
ArkaPrep’s Services are available globally via the internet. All prices are in U.S. Dollars unless otherwise stated. Students and Guardians outside India acknowledge that disputes shall still be governed under Indian law per Section 20.
4. PAYMENT TERMS
4.1 Fees
All fees are stated in U.S. Dollars and are due before Services commence, unless otherwise agreed in writing. Fees are based on the service type, session duration, Tutor experience level, and any Package selected. ArkaPrep reserves the right to update its fee schedule; enrolled clients will receive at least 14 days’ notice of any changes.
4.2 Payment Methods
ArkaPrep accepts major credit cards, debit cards, ACH bank transfers, UPI (where available), and other payment methods as listed on the website. All transactions are processed through secure, encrypted payment platforms. By providing payment information, you authorize ArkaPrep to charge the applicable fees.
4.3 Late Payment
Accounts with outstanding balances may be suspended until payment is received. ArkaPrep reserves the right to charge a late fee of up to USD 5 or 1.5% of the outstanding balance per month (whichever is greater) on overdue amounts.
4.4 Taxes
You are responsible for all applicable taxes, duties, or levies on purchases made through ArkaPrep, except where ArkaPrep is required by law to collect and remit such taxes. International students may be subject to additional local taxes or foreign transaction fees charged by their payment provider, for which ArkaPrep bears no responsibility.
4.5 Chargeback Policy
Initiating a chargeback, payment dispute, or reversal with your bank or payment provider without first contacting ArkaPrep at arkaprep@gmail.com to resolve the matter in good faith is considered a breach of these Terms. ArkaPrep reserves the right to: (a) immediately suspend or permanently terminate your account and all associated Services upon receipt of a chargeback; (b) pursue recovery of the disputed amount, associated fees, and any collection costs; and (c) report fraudulent or abusive chargebacks to credit reporting agencies or law enforcement where applicable. Legitimate billing concerns must be directed to support before initiating any dispute with your financial institution.
4.6 Currency & Conversion
Payments are processed in U.S. Dollars. If your bank or card issuer converts the charge to your local currency, any conversion fees or exchange rate differences are your sole responsibility. ArkaPrep is not liable for any currency fluctuation losses.
5. SCHEDULING POLICY
5.1 Booking Sessions
Sessions must be scheduled through the ArkaPrep Platform, mobile app, or by contacting our scheduling team. Verbal or informal arrangements made outside official channels are not recognized. Sessions are considered confirmed only upon written or electronic confirmation from ArkaPrep.
5.2 Session Duration
Standard Sessions are 50 minutes unless otherwise specified at booking. Sessions that begin late due to the student’s tardiness will end at the originally scheduled time unless the Tutor can accommodate an extension.
5.3 Tutor Tardiness
If a Tutor arrives more than 10 minutes late without prior notice, the student may elect to: (a) proceed with the remaining Session time at no charge; (b) reschedule the Session at no penalty; or (c) receive a full credit for that Session.
5.4 Time Zone Responsibility
Students and Guardians are solely responsible for selecting the correct time zone when scheduling Sessions. ArkaPrep displays all session times in the user’s local time zone as set during account registration. ArkaPrep is not responsible for missed or late Sessions resulting from time zone errors, daylight saving time changes, or device clock inaccuracies. Sessions missed due to time zone errors are treated as student no-shows under Section 6.1.
5.5 Session Frequency Limits
ArkaPrep cannot guarantee more than a reasonable number of Sessions per week based on Tutor availability. Special scheduling arrangements may be made upon written agreement. Requests for Sessions on short notice (less than 48 hours) cannot be guaranteed and are subject to Tutor availability.
6. CANCELLATION POLICY
6.1 Cancellation by the Student or Guardian
The following unified policy governs all cancellations and rescheduling requests:
More than 24 hours before the scheduled Session:
Cancellation or rescheduling is permitted at no cost. Full credit is retained for use within 12 months.
12 to 24 hours before the scheduled Session:
Cancellation or rescheduling is only permitted by mutual written agreement between the student (or Guardian) and the Tutor via the ArkaPrep Platform.
If the Tutor does not agree to the change, the Session proceeds as scheduled. Failure to attend will result in the Session being counted as used with no credit or refund.
ArkaPrep is not a party to mutual agreements made in this window and bears no liability for outcomes arising from such changes.
Within 12 hours of the scheduled Session (including No-Shows):
The Session is automatically counted as used. No cancellation, rescheduling, credit, or refund will be granted under any circumstances.
This applies to student no-shows, last-minute cancellations, and technical issues on the student’s end.
After two (2) within-12-hour cancellations or no-shows, ArkaPrep reserves the right to require pre-payment for all future Sessions or to terminate the enrollment.
6.2 How to Cancel
Cancellations must be submitted through the ArkaPrep client portal, via the mobile app, or by emailing arkaprep@gmail.com. Phone calls, text messages (unless via the official WhatsApp at +91 7878107701), or social media messages are NOT accepted as official cancellation requests. The timestamp of the written cancellation submission will govern applicable fees.
6.3 Cancellation by ArkaPrep
ArkaPrep reserves the right to cancel a Session due to Tutor illness, emergency, or unforeseen circumstances. In such cases, ArkaPrep will: (a) notify the student or Guardian as early as possible; (b) offer a reschedule at no additional charge; or (c) issue a full credit for the value of the cancelled Session. ArkaPrep will not be held liable for any incidental or consequential damages arising from a Tutor-initiated or platform-initiated cancellation.
6.4 Emergency Exceptions
ArkaPrep recognizes that genuine emergencies occur. Students or Guardians who experience a documented medical emergency, bereavement, or natural disaster may submit a written exception request to arkaprep@gmail.com within 24 hours of the missed Session. ArkaPrep will review such requests on a case-by-case basis and may, at its sole discretion, issue a credit. No exception is guaranteed.
7. RESCHEDULING POLICY
7.1 Rescheduling by the Student or Guardian
More than 24 hours before the scheduled Session:
Free rescheduling with no fees or penalties. Select any available slot via the ArkaPrep Platform.
12 to 24 hours before the scheduled Session:
Rescheduling requires mutual written agreement between the student (or Guardian) and the Tutor via the ArkaPrep Platform. If the Tutor does not agree, the Session stands.
Within 12 hours of the scheduled Session:
Rescheduling is not permitted. The Session is counted as used. See Section 6.1.
7.2 How to Reschedule
Reschedule requests must be submitted through the ArkaPrep client portal or by emailing arkaprep@gmail.com. Availability of alternative times is not guaranteed, particularly for in-demand Tutors. ArkaPrep will make reasonable efforts to accommodate scheduling preferences.
7.3 Rescheduling by ArkaPrep
In the event ArkaPrep must reschedule a Session, students and Guardians will be notified promptly and provided with alternative time slots at no additional charge.
8. REFUND & CREDIT POLICY
8.1 Individual Sessions
Refunds for individual Sessions follow the Cancellation Policy in Section 6. Completed Sessions are non-refundable.
8.2 Packages & Bundles
Unused Sessions within a Package may be refunded on a pro-rated basis upon written request within 30 days of the original purchase date, subject to a 10% administrative processing fee.
After 30 days from purchase, no refund will be issued for unused Package Sessions. However, Sessions remain valid and credited for use within 12 months of purchase.
Partially used Packages are not eligible for refunds on completed Sessions.
8.3 Credit Terms
All Credits are: (a) valid for 12 months from the date of issuance unless otherwise stated; (b) non-transferable to third parties outside the same enrolled household; (c) reassignable to a different Tutor, subject, or eligible ArkaPrep service within the same account; and (d) of no cash value and cannot be redeemed for money under any circumstances. Credits issued as goodwill gestures expire within 3 months unless otherwise specified in writing.
8.4 Non-Refundable Items
Registration fees, diagnostic assessment fees, custom curriculum development fees, and any add-on materials fees are non-refundable once incurred.
8.5 Refund Processing
Approved refunds will be processed to the original payment method within 7–10 business days. ArkaPrep is not responsible for delays caused by third-party financial institutions.
9. TECHNOLOGY & CONNECTIVITY POLICY
9.1 Student Responsibilities
Students and Guardians are solely responsible for providing and maintaining all technical requirements to participate in Sessions, including:
A functioning internet connection with sufficient bandwidth for video conferencing.
A compatible device (computer, tablet, or smartphone) with a working camera and microphone.
Access to the agreed video conferencing platform (e.g., Zoom, Google Meet, or the ArkaPrep Platform).
Any required software, browser, or plugin installations prior to the Session.
9.2 Student-Side Technical Failures
Technical failures, outages, or connectivity issues occurring on the student’s end — including but not limited to internet disconnections, device malfunctions, platform incompatibilities, or power outages — do not create a right to a refund, credit, or reschedule. Such failures are treated as student no-shows under Section 6.1.
9.3 Tutor-Side or Platform-Side Technical Failures
If ArkaPrep’s Platform or a Tutor experiences a verified technical failure that prevents a Session from proceeding, the student will receive a full credit for that Session or the opportunity to reschedule at no penalty.
9.4 Platform Updates
ArkaPrep reserves the right to modify, update, or discontinue any aspect of the Platform at any time. Where material changes affect Service delivery, ArkaPrep will provide reasonable notice to enrolled users.
10. SESSION RECORDING & MONITORING
10.1 ArkaPrep’s Right to Record
ArkaPrep and its authorized Tutors may record Sessions for any or all of the following purposes: (a) safeguarding and child protection; (b) quality assurance and Tutor training; (c) dispute resolution and evidence retention; (d) compliance with applicable laws and regulations; and (e) service improvement. All recordings remain the exclusive property of ArkaPrep unless otherwise required by law.
10.2 Guardian Notice
Guardians will be notified at enrollment that Sessions involving Minor students may be recorded. By enrolling a Minor, the Guardian provides informed consent to such recording. Guardians may request access to recordings involving their Minor child by submitting a written request to arkaprep@gmail.com, subject to Privacy Policy provisions.
10.3 Student & Guardian Recording Prohibition
Students and Guardians may not record any Session, in whole or in part, by any means (audio, video, screenshot, or otherwise) without the prior written consent of ArkaPrep and the relevant Tutor. Unauthorized recordings are a material breach of these Terms and may result in immediate termination of Services without refund and potential legal action.
10.4 Retention
ArkaPrep retains recordings for a period it deems appropriate for the purposes outlined above, after which they may be permanently deleted. ArkaPrep does not guarantee long-term storage of recordings.
11. CONDUCT & COMMUNITY STANDARDS
11.1 Student & Guardian Conduct
All Students and Guardians agree to:
Treat Tutors and ArkaPrep staff with respect and professionalism at all times.
Refrain from using abusive, threatening, obscene, or discriminatory language during Sessions or in any communication with ArkaPrep personnel.
Not request or attempt to establish any personal, social, or financial relationship with Tutors outside the ArkaPrep Platform.
Not solicit Tutors for private engagements outside ArkaPrep (see Section 13 — Anti-Circumvention).
Not record Sessions without the prior written consent of ArkaPrep and the Tutor.
Not impersonate another person or create false accounts on the Platform.
Not use the Platform in any way that violates applicable laws, including laws relating to privacy, data protection, and intellectual property.
11.2 Tutor Conduct
All Tutors agree to:
Deliver Services professionally, punctually, and with the highest standard of educational integrity.
Never engage in romantic, sexual, or inappropriate personal relationships with students.
Immediately report any safeguarding concerns involving a Minor to ArkaPrep management.
Maintain session confidentiality and comply with ArkaPrep’s Privacy Policy and data handling standards.
Not solicit students for private tutoring arrangements outside the ArkaPrep Platform.
Not share, sell, or commercially exploit any student information obtained through the Platform.
11.3 Enforcement
ArkaPrep reserves the right to immediately suspend or permanently terminate enrollment of any student, Guardian, or Tutor who violates these conduct standards, without refund. ArkaPrep may also report misconduct to relevant authorities where required by law.
11.4 Reviews & Feedback
Students and Guardians may be invited to submit feedback or ratings following Sessions. By submitting feedback, you grant ArkaPrep a non-exclusive, royalty-free, worldwide license to use, display, and publish your feedback (with or without your name, at our discretion) for service improvement and promotional purposes. Feedback must be honest and must not be defamatory, false, or misleading. ArkaPrep reserves the right to remove or moderate feedback that violates these standards.
12. SAFEGUARDING & CHILD PROTECTION
The safety and wellbeing of Minor students is ArkaPrep’s highest priority.
All Minor students MUST be enrolled by and remain under the active supervision of their parent or legal Guardian.
ArkaPrep conducts background checks on all Tutors working with Minor students.
Sessions involving Minors may be recorded for safeguarding and quality assurance purposes. Guardians will be notified at enrollment.
Guardians have the right to access session recordings for Sessions involving their Minor child upon written request.
Any conduct raising concern for a Minor’s safety will be reported to appropriate authorities as required by law.
ArkaPrep does not permit Tutors to arrange in-person, private, or off-platform contact with Minor students.
ArkaPrep maintains a designated safeguarding protocol. Reports must be marked “URGENT — SAFEGUARDING” and directed to arkaprep@gmail.com for priority response.
By enrolling a Minor, the Guardian acknowledges full responsibility for all decisions relating to the Minor’s participation, including consent for academic support, data collection, and session monitoring.
13. ANTI-CIRCUMVENTION & NON-SOLICITATION
13.1 Prohibition on Bypassing the Platform
Students, Guardians, and Tutors may not, at any time during their relationship with ArkaPrep or for twelve (12) months following the final Session or last platform interaction, directly or indirectly: (a) arrange or conduct private tutoring sessions with an ArkaPrep-connected Tutor outside the ArkaPrep Platform; (b) refer an ArkaPrep Tutor to a third party for private engagement; or (c) use knowledge of a Tutor’s identity, contact details, or skills obtained via the Platform to establish a tutoring relationship through any channel other than ArkaPrep.
13.2 Consequences of Circumvention
Breach of this Section is a material violation of these Terms. ArkaPrep reserves the right to: (a) immediately terminate the accounts of all involved parties; (b) pursue liquidated damages equivalent to the fees ArkaPrep would have earned for the estimated private sessions; and (c) take legal action to enforce these restrictions and recover costs.
13.3 Tutor Non-Solicitation
Tutors agree not to solicit students or Guardians for private tutoring, coaching, or any educational services outside the ArkaPrep Platform during the period of engagement and for 12 months thereafter.
14. TUTOR NON-DISCLOSURE & CONFIDENTIALITY
14.1 NDA Requirement
All Tutors engaged by ArkaPrep are required to sign a Non-Disclosure Agreement (NDA) as a condition of engagement. The NDA governs the protection of Confidential Information including but not limited to:
Student and Guardian personal information.
Session content, recordings, and instructional materials.
ArkaPrep’s proprietary curriculum, pricing, and business strategies.
Internal operational data, client lists, and platform infrastructure.
14.2 Breach of Confidentiality
Unauthorized disclosure of Confidential Information by a Tutor constitutes a material breach of the Tutor’s agreement with ArkaPrep and may result in immediate termination of engagement and legal action for damages, including injunctive relief.
14.3 Student & Guardian Confidentiality
Students and Guardians acknowledge that ArkaPrep’s platform, pricing, curriculum materials, and Tutor information constitute confidential business information of ArkaPrep. You agree not to share, publish, or commercially exploit such information without prior written consent.
15. TUTOR INDEPENDENT CONTRACTOR STATUS & ARKAPREP LIABILITY
15.1 Tutors are Independent Contractors
All Tutors engaged by ArkaPrep operate exclusively as independent contractors and are not employees, agents, partners, or representatives of ArkaPrep. ArkaPrep does not exercise direct control over the specific instructional methods, pacing, communication style, or personal conduct of any individual Tutor during a Session.
15.2 ArkaPrep’s Role
ArkaPrep’s role is limited to connecting students and Guardians with qualified Tutors, providing Platform infrastructure, establishing service standards and conduct guidelines, and facilitating scheduling and payments.
15.3 Tutor Conduct is the Tutor’s Sole Responsibility
Notwithstanding ArkaPrep’s policy instructions, the actual conduct, behavior, instructional choices, statements, and actions of any individual Tutor during or outside a Session are solely the Tutor’s own responsibility. ArkaPrep expressly disclaims liability for:
Any act, omission, statement, or behavior of a Tutor outside ArkaPrep’s stated policies.
The quality, accuracy, or appropriateness of instructional content delivered at the Tutor’s individual discretion.
Any agreements, representations, or commitments made by a Tutor not authorized in writing by ArkaPrep.
Any harm, loss, or damage — whether academic, financial, emotional, or otherwise — arising from a Tutor’s personal conduct or professional decisions.
15.4 Reporting Tutor Misconduct
If a student or Guardian believes a Tutor has acted in violation of ArkaPrep’s policies or these Terms, they should report the matter immediately to arkaprep@gmail.com with the subject line “TUTOR CONDUCT REPORT”. ArkaPrep will investigate and take appropriate action. ArkaPrep’s investigation does not create or imply any admission of liability.
16. AI-ASSISTED LEARNING DISCLOSURE
16.1 Use of AI Tools
ArkaPrep Tutors may use approved artificial intelligence (AI) tools to support lesson planning, practice question generation, curriculum alignment, and learning assistance during or in preparation for Sessions. The use of such tools is subject to ArkaPrep’s internal AI usage guidelines.
16.2 Student Academic Responsibility
Regardless of any AI tools used by Tutors, students remain solely responsible for completing and submitting their own original academic work. ArkaPrep’s use of AI tools does not authorize or facilitate academic dishonesty on the part of students. Any academic work submitted by a student to their school or institution must comply with that institution’s academic integrity policies.
16.3 No Guarantee of AI Accuracy
AI-generated content or suggestions used during Sessions may occasionally contain inaccuracies. ArkaPrep makes no warranty as to the accuracy, completeness, or fitness of any AI-generated content. Students and Guardians are encouraged to verify any AI-assisted material against official curriculum sources.
16.4 AI & Data
ArkaPrep will not use student personal data or session content to train third-party AI models without explicit consent. Any use of AI tools that involves student data will comply with our Privacy Policy and applicable data protection laws.
17. USE OF THIRD-PARTY EDUCATIONAL RESOURCES
17.1 Supplemental Use of Publicly Available Materials
ArkaPrep’s Tutors may utilize publicly available educational resources — including government curriculum documents, open-access practice materials, and publicly shared worksheets — to provide curriculum-aligned tutoring across diverse educational systems.
17.2 No Ownership Claimed
ArkaPrep does not claim any ownership, copyright, or intellectual property rights over any third-party educational materials sourced from the internet. All such materials remain the property of their respective creators. ArkaPrep uses these resources solely for non-commercial educational instruction.
17.3 Purpose & Restrictions
Materials are selected to align with the student’s specific curriculum.
Resources are used strictly for non-commercial instruction and are not redistributed or resold.
Tutors are instructed to use only publicly accessible materials and to respect copyright and fair use guidelines.
17.4 No Warranty on Third-Party Content
ArkaPrep makes no representations or warranties regarding the accuracy, completeness, or currency of any third-party materials used during Sessions. ArkaPrep is not liable for any errors in third-party educational content.
18. PRIVACY & DATA PROTECTION
ArkaPrep collects, processes, and stores personal information in accordance with its Privacy Policy, available at www.arkaprep.com/privacy, which is incorporated into these Terms by reference.
By using the Services, you consent to ArkaPrep’s collection and use of your personal data for the purposes of delivering educational services, communicating about sessions, improving Platform functionality, and complying with legal obligations.
ArkaPrep complies with applicable data protection laws including: (a) the Children’s Online Privacy Protection Act (COPPA) for users under 13; (b) the Family Educational Rights and Privacy Act (FERPA) where applicable; (c) India’s Digital Personal Data Protection Act (DPDPA) 2023; and (d) the EU General Data Protection Regulation (GDPR) for users in the European Economic Area.
ArkaPrep does not sell personal data to third parties for marketing purposes. Data shared with Tutors is limited to what is reasonably necessary to deliver educational services.
19. INTELLECTUAL PROPERTY (ARKAPREP CONTENT)
All content created and owned by ArkaPrep — including proprietary curricula, practice materials, study guides, lesson recordings, and Platform content — is the exclusive intellectual property of ArkaPrep and is protected by applicable copyright and trademark laws.
Students and Guardians may use ArkaPrep-owned materials solely for personal, non-commercial educational purposes. You may not reproduce, distribute, modify, sell, or create derivative works from ArkaPrep content without express written permission.
Tutors retain no ownership rights over ArkaPrep-developed materials; any curriculum created in the scope of engagement with ArkaPrep is considered work-for-hire and belongs to ArkaPrep. This section applies only to materials originated by ArkaPrep and does not extend to third-party educational resources referenced in Section 17.
ArkaPrep’s name, logo, and branding are registered trademarks. You may not use them without prior written consent.
20. DISCLAIMER OF WARRANTIES
ArkaPrep provides services on an “as is” and “as available” basis. While we strive to deliver high-quality educational support, we make no guarantees regarding specific academic outcomes, score improvements, college admissions results, or other measurable goals. Academic results depend on many factors outside ArkaPrep’s control, including student effort, prior knowledge, attendance, and engagement. ArkaPrep makes no warranty that the platform will be uninterrupted, error-free, or free from viruses or other harmful components.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, ArkaPrep shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of — or inability to use — the Services, even if advised of the possibility of such damages. This includes, without limitation:
Any liability arising from the independent conduct of Tutors (see Section 15).
Any liability arising from the use of third-party educational resources (see Section 17).
Any liability arising from AI-assisted tools used during Sessions (see Section 16).
Loss of data, academic progress, or business opportunity.
ArkaPrep’s total cumulative liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to ArkaPrep in the three (3) months preceding the date the claim arose.
22. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ArkaPrep, its officers, directors, employees, Tutors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) conduct or activities of your Minor student for whom you are the enrolled Guardian; (d) your violation of any applicable law or third-party rights; or (e) any false, misleading, or defamatory feedback or content you submit to the Platform.
23. FORCE MAJEURE
ArkaPrep shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by events beyond ArkaPrep’s reasonable control, including but not limited to: internet outages or infrastructure failures; natural disasters (earthquakes, floods, fires, storms); acts of government or regulatory authority; civil unrest, strikes, or labor disputes; war, terrorism, or national emergencies; pandemics, epidemics, or public health crises; or power failures affecting third-party service providers.
In the event of a Force Majeure, ArkaPrep will: (a) notify affected users as soon as reasonably practicable; (b) make reasonable efforts to resume Services; and (c) issue credits (not refunds) for Sessions that could not be delivered. Extended Force Majeure events exceeding 30 days may be grounds for mutual termination per Section 24.
24. TERMINATION
24.1 By the Student or Guardian
You may terminate your enrollment at any time by providing written notice to ArkaPrep at arkaprep@gmail.com. Termination is subject to the Refund & Credit Policy in Section 8. Unused credits at the time of voluntary termination may be claimed within 30 days of the termination date, after which they expire.
24.2 By ArkaPrep
ArkaPrep reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for: violation of these Terms; non-payment or chargeback abuse; inappropriate or harmful conduct; academic dishonesty; or any other reason deemed necessary at ArkaPrep’s sole discretion. Upon termination for cause, no refund of unused Credits will be provided.
24.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature survive termination — including Sections 13, 14, 19, 21, 22, 25, and 26 — shall remain in full force.
25. DISPUTE RESOLUTION
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute to arkaprep@gmail.com.
If the matter remains unresolved, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended. The seat and venue of arbitration shall be Ajmer, Rajasthan, India. Proceedings shall be conducted in English. The decision of the arbitrator shall be final and binding on all parties. The prevailing party may seek recovery of reasonable legal fees.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
You agree that claims will be resolved only on an individual basis and not as part of a class, consolidated, or representative action.
26. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ajmer, Rajasthan, India, where ArkaPrep’s registered head office is situated. By using the Services, all parties — including international students and Guardians — consent to this jurisdiction.
27. MODIFICATIONS TO THESE TERMS
ArkaPrep reserves the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email or Platform notification. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with any modification, you may terminate your enrollment per Section 24.1 before the effective date.
28. GENERAL PROVISIONS
28.1 Entire Agreement
These Terms, together with the Privacy Policy and any written service agreement or Package confirmation issued by ArkaPrep, constitute the entire agreement between you and ArkaPrep concerning the Services and supersede all prior agreements or understandings.
28.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.
28.3 Waiver
ArkaPrep’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any breach does not constitute a waiver of any future breach.
28.4 Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without ArkaPrep’s prior written consent. ArkaPrep may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
28.5 Notices
All legal notices to ArkaPrep must be sent in writing to arkaprep@gmail.com. Notices to users will be sent to the email address registered on the account. Notices are effective on the date of delivery.
28.6 Accessibility
ArkaPrep is committed to making its Platform accessible to users with disabilities. If you experience accessibility issues, please contact us at arkaprep@gmail.com and we will make reasonable efforts to accommodate your needs.
28.7 Language
These Terms are written in English. In the event of any inconsistency between an English version and a translated version of these Terms, the English version shall prevail.
